The Opportunity

This is a deeply hands-on role embedded in Sterlington’s most active deals, working directly with M&A, Executive Compensation, and Private Wealth partners as transactions unfold. You’ll build and pressure-test models, analyze deal structures and management equity, and turn market, valuation, and capital-structure insights into clear negotiation leverage and partner-ready advice. Designed for someone who wants to be in the details, this role connects finance, strategy, and legal execution to directly shape deal outcomes.

What You'll Do:

  • Build, refine, and pressure-test financial models directly, using hands-on analysis to surface key economic drivers and deal sensitivities.
  • Collaborate closely with M&A, Executive Compensation, and Private Wealth partners on active transactions.
  • Review and analyze deal structures, management equity packages, and transaction models to support legal negotiation strategy.
  • Provide context on market trends, valuation dynamics, and capital structures relevant to ongoing deals.
  • Support partners in developing strategic recommendations for clients, aligning legal positions with commercial and financial objectives.
  • Contribute to internal best practices, templates, and tools to strengthen Sterlington’s deal advisory capability.
  • Participate in selected client discussions, helping translate complex financial concepts into strategic legal insights.

What We're Looking For :

  • 5 - 8 years of experience in investment banking, private equity, or transactional advisory (buy-side, sell-side, or management representation).
  • Demonstrated understanding of M&A transaction mechanics, management equity, incentive structures, and deal financing.
  • Exceptional analytical and financial modeling skills, with an ability to distill key commercial drivers.
  • Strong communication and collaboration skills, comfortable supporting lawyers and senior partners in a high-stakes environment.
  • Detail-oriented, intellectually curious, and motivated by precision and excellence.

At Sterlington, we believe that world-class talent has no boundaries. We are committed to fostering a diverse and inclusive environment where unique perspectives are valued and every individual has the opportunity to thrive. We encourage all qualified candidates to apply.
